Terms of Service

Pallet helps small businesses organize inventory, track stock levels, print QR labels, scan items, monitor low-stock alerts, manage team workspaces, record activity history, and use optional features such as AI Copilot, Telegram bot actions, Shopify sync, and Stripe billing. Pallet is a business productivity tool. It is not accounting, tax, legal, financial, logistics, or enterprise resource planning software.

You are responsible for deciding how to use Pallet, what information to enter, whether inventory records are correct, and whether outputs from the service are suitable for your business. You should independently verify stock counts, prices, costs, profit calculations, AI suggestions, imported data, and integration results before relying on them.

You need an account to use the Pallet app. You may sign in by email or through supported identity providers such as Google. You must provide accurate account information and keep your login credentials secure. You are responsible for activity that happens under your account, except where caused by Pallet's breach of these Terms or applicable law.

Tell us promptly if you believe your account, Google sign-in, workspace, team invite, or integration has been compromised. We may require additional verification before making account, billing, deletion, or ownership changes.

Pallet workspaces are designed for business inventory. A workspace owner controls the workspace name, settings, plan, billing actions, team invitations, member roles, integrations, and the inventory content stored in that workspace. Team members may access workspace content according to their role and the features enabled by the owner.

If you create or administer a workspace, you are responsible for inviting the right people, assigning appropriate roles, removing access when it is no longer needed, and making sure your team is allowed to enter and process the data you place in Pallet.

You keep ownership of the inventory records, photos, files, prompts, notes, item data, custom fields, supplier details, Shopify data, Telegram commands, and other content that you or your team submit to Pallet. You grant Pallet the rights needed to host, store, process, transmit, display, back up, analyze, and otherwise handle that content to provide, secure, support, and improve the service.

You must not upload or process content that you do not have the right to use, that violates law, that infringes another person's rights, or that contains malicious code. You are responsible for keeping your own business records and exports where needed for legal, tax, insurance, accounting, or operational purposes.

Pallet offers a Free plan and paid plans such as Starter, Pro, and Business. Plan features, prices, limits, storage allowances, workspace limits, team limits, and item limits are shown on the pricing page and inside the app. AI features use Pallet-hosted monthly credits where supported. Some features, including profit tracking, higher storage limits, and API-style access, may require a paid plan.

Paid subscriptions are billed through Stripe. By starting checkout, a trial, or a paid plan, you authorize Stripe and Pallet to process the subscription, renewals, invoices, taxes where applicable, plan changes, and payment status updates. Your payment card details are handled by Stripe, not stored directly by Pallet.

Unless a plan or checkout page says otherwise, paid plans renew automatically until cancelled. Upgrades may take effect immediately. Downgrades, cancellations, and scheduled plan changes may take effect at the end of the current paid billing period. If your workspace exceeds the limits of a lower plan, you may need to reduce usage before switching to that plan.

Fees are generally non-refundable except where required by law or where we expressly agree otherwise. You remain responsible for any taxes, bank charges, currency conversion fees, and payment-provider fees that apply to your purchase.

Pallet may include AI features that draft item records, interpret photos, answer inventory questions, summarize stock information, or help automate actions through Pallet AI where supported. AI output can be incomplete, inaccurate, outdated, or unsuitable for your particular business. You are responsible for reviewing and approving AI-generated content, stock changes, prices, costs, categories, locations, and any other suggested action before relying on it.

Pallet AI limits and provider policies may apply. We may limit, throttle, suspend, or refuse AI requests to protect the service, comply with provider policies, or prevent misuse. Do not submit sensitive personal data, payment card details, passwords, secrets, or content you are not allowed to process through AI features.

Pallet can connect to third-party services, including Google sign-in, Google Analytics, Google Search Console, Stripe, Supabase, Cloudflare R2, Resend, Crisp, Telegram, Shopify, and AI or transcription providers. Some of these services are infrastructure providers and some are optional user-facing integrations. Your use of third-party services may also be governed by their own terms and privacy policies.

If you connect Telegram, Shopify, or another integration, you authorize Pallet to exchange the data needed to operate that integration. Integrations may fail, delay, duplicate, or misinterpret data because of provider outages, API changes, permission changes, rate limits, expired tokens, configuration errors, or data conflicts. You are responsible for checking important inventory, order, stock, and alert results.

Google Analytics and Google Search Console help us understand public website traffic, product usage, indexing, and search performance. They do not replace your own compliance obligations and are described further in our Privacy Policy.

You must not use Pallet to:

• break the law, violate another person's rights, or process data without proper authority;
• upload malware, interfere with security, attempt unauthorized access, or probe the service for vulnerabilities;
• abuse trials, plan limits, billing flows, connected AI features, integrations, referrals, or support channels;
• send spam, phishing, deceptive messages, or unauthorized Telegram, email, or integration traffic;
• reverse engineer, scrape, copy, resell, or overload Pallet except as allowed by law or written permission;
• store highly sensitive information such as full payment card numbers, government identifiers, passwords, or medical records unless we have expressly agreed in writing;
• use AI, automation, or integrations to create harmful, unlawful, infringing, or deceptive output.

Our Privacy Policy explains how we collect, use, share, and protect information connected to Pallet, including account data, workspace content, analytics, Google login, Search Console, billing, integrations, AI, Telegram, Shopify, and support communications. By using Pallet, you acknowledge that we process information as described in the Privacy Policy.

Pallet, including the product design, software, source code, workflows, interface, trademarks, logos, documentation, copy, and visual identity, belongs to InnoByte OÜ or its licensors. These Terms do not transfer any ownership rights to you. You receive a limited, non-exclusive, non-transferable right to use Pallet for your internal business purposes while you comply with these Terms and your plan remains active.

You may give us feedback or suggestions. We may use that feedback without restriction or compensation, but you are not required to provide it.

We may update, improve, add, remove, limit, or discontinue features as Pallet evolves. We aim to keep the service reliable, but we do not guarantee uninterrupted availability, error-free operation, or permanent availability of any feature, integration, provider, or data import path. Maintenance, outages, provider issues, browser changes, API changes, or security incidents may affect the service.

Beta, preview, demo, or experimental features may be changed or removed at any time and may be less reliable than generally available features.

You may stop using Pallet at any time. Workspace owners can manage subscriptions through Stripe where available. We may suspend or terminate access if you breach these Terms, create security or legal risk, fail to pay amounts due, misuse the service, or if we are required to do so by law or a provider.

After termination or deletion, we may retain certain information for backup, legal, accounting, fraud-prevention, dispute, and security purposes as described in the Privacy Policy. You should export any content you need before closing an account or workspace.

Pallet is provided on an "as is" and "as available" basis to the maximum extent allowed by law. We do not promise that Pallet will meet every business need, that inventory or profit records will always be accurate, that QR labels or barcode scans will always work, that AI output will be correct, or that third-party integrations will always sync as expected.

You are responsible for maintaining appropriate backups, operational checks, physical stock counts, business controls, and professional advice where needed.

To the maximum extent allowed by law, InnoByte OÜ and its directors, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, lost revenue, lost goodwill, lost data, business interruption, inaccurate inventory, failed integrations, or replacement services.

To the maximum extent allowed by law, our total liability for claims relating to Pallet is limited to the amount you paid to Pallet for the affected workspace during the three months before the event giving rise to the claim, or EUR 100 if you used only the Free plan. Nothing in these Terms limits liability that cannot legally be limited.

If you use Pallet for a business, you agree to defend and indemnify InnoByte OÜ against claims, damages, losses, liabilities, costs, and expenses arising from your content, your workspace, your integrations, your breach of these Terms, your violation of law, or your infringement of third-party rights.

These Terms are governed by the laws of Estonia, without regard to conflict-of-law rules, unless mandatory consumer or data protection law gives you additional rights. Courts in Estonia will have jurisdiction over disputes relating to these Terms, except where applicable law requires another forum.

We may update these Terms as Pallet, our providers, our business model, or legal requirements change. When we make material changes, we will update the date above and may notify users through the app, by email, or by another reasonable method. Continued use of Pallet after the effective date means you accept the updated Terms.
